Royal Dutch Shell plc changes name to Shell plc

Shell plc has confirmed its name has changed from Royal Dutch Shell plc to Shell plc. It disclosed that the decision to change the company’s name was made by the Board on December 20, 2021, while this change takes effect today, January 25, 2022.

Euronext Amsterdam, the London Stock Exchange, and the New York Stock Exchange have been informed of the name change and it is anticipated that Euronext Amsterdam and the London Stock Exchange will reflect the change of name on January 25, 2022, while the New York Stock Exchange will follow on Monday, January 31, 2022.

The company, in a statement, assured shareholders that their shareholdings will be unaffected by the change of name and existing share certificates should be retained as they will remain valid for all purposes and no new share certificates will be issued.

On Dec 20, 2021, Shell sets out an expected timetable of Simplification of the company’s share structure and aligns its tax residence with its country of incorporation in the UK.

As a result, the Board decided to change the company’s name to Shell plc which will be implemented in January 2022, with a further announcement to be made at the time.

“Today’s decisions follow the completion of the consultation with the Centrale Ondernemingsraad van Shell Nederland (Central Staff Council of Shell Netherlands) and the Shell European Works Council, and come after a December 10, 2021 shareholder vote giving the Board overwhelming approval for the necessary amendments to the Company’s Articles of Association, which have been adopted with immediate effect”, Shell notified then.

The ISINs, SEDOLs, CUSIPs, and ticker symbols of the company’s A shares and B shares and A ADSs and B ADSs will remain unchanged for the time being but will change in accordance with the remaining steps of the Simplification as set out in the announcement released on December 20, 2021. The Company’s Legal Entity Identifier (LEI) remains 21380068P1DRHMJ8KU70.
